Terms and Conditions
This Master Service Agreement (this "agreement") is entered between PbxEdge Inc. and end customer and will remain in full force and effect until the duration of the term as stated in the plan selected by the end user. This agreement will be governed by the terms and conditions as detailed below. These terms and conditions replace any other prior terms and conditions set forth by the customer or by PbxEdge Inc. By accepting these terms and conditions, the customer agrees to be bound by these terms and conditions. Any changes, additions, amendments, or conflicting statements or documents presented by the end user at any time will not be accepted by PbxEdge. All such documents submitted by the end user at any time, will be inapplicable to any past, current, or future sales or services offered by PbxEdge. Any changes made to this agreement will have to be signed by an officer of PbxEdge Inc.
PbxEdge System Requirements
PbxEdge phone systems require a digital phone, electricity and reliable internet connection to function properly. The system will not work in the absence or these basic requirements and PbxEdge will not be responsible for any interruptions due to the malfunctioning of the phone equipment or outages of electricity or internet connections. PbxEdge will also not be responsible for any outages due to natural calamities
Billing, Payments and Fees
The customer will be responsible to make all payments for devices and services purchased through PbxEdge.com. PbxEdge will provide billing details that will include one time and recurring charges. PbxEdge will validate customers credit card information provided at checkout while signing up for the service. Customer must immediately notify PbxEdge of any changes to the credit card information to avoid disruption of service. Customer will be fully responsible for any additional charges billed to them by their credit card company including any processing fees, late payments or any penalties due to insufficient funds or exceeding credit limits. PbxEdge will provide online billing statements that can be accessed by the user by logging into their account. These billing statements will include all one time and/or recurring charges including device charges, activation fees, virtual numbers, efax and toll feee number setup fees, monthly service fees, taxes, shipping fees and any additional charges. PbxEdge reserves the right to charge the customer more than once a month if the monthly usage charges exceed $25 over the monthly plan subscription charges. The customer will be responsible for any outstanding charges upon termination or discontinuation of the service. PbxEdge will charge the customer a late payment fee calculated at 1.2% of the unpaid amount. This late fee will be added to the total unpaid amount and will not be waived under any circumstances. PbxEdge will suspend service if the payment is not made within 15 days of payment due date. PbxEdge offers its customers 15 days of trial period during which the customer can cancel the service. The customer will be responsible to make full payment of equipment, setup fees, service charges, and taxes during this trial period. The customer shall keep the equipment and PbxEdge will not be refund the equipment cost upon cancellation of the service after 15 days of service. The customer can return the equipment within the first 15 days of service if its in its original working condition with no damages and all parts intact. The customer has to get authorization to return the equipment and will be responsible for all shipping charges. The customer has to return the equipment in its original form within 5 days of canceling the service. PbxEdge will charge its users a disconnection fees of $35.00 (thirty five dollars) upon disconnection of the service after the trail period and before first 9 months of service activation. A reactivation fees of $15 will be charged if the user decides to reactivate the service. The disconnection fees will be billed to the customers credit card upon cancellation of the service before completion of 9 months of service.
Devices
PbxEdge will configure and sell selected phone models through it's website PbxEdge.com. User has option to select between phone adapters and phone systems. The warranty of these phone systems will be governed by the standard manufacturer warranties. PbxEdge will not be responsible for any defects in the phone system after the initial setup of these systems. The end user will have to contact the manufacturer for any defects in the phone system. The end user shall not ship any equipment back to PbxEdge without prior written approval from PbxEdge Inc. The customer agrees not to make any software changes to the device. The customer shall be fully responsible for any disruption in service due to the changes made to the device software by the customer. Customer agrees to take full responsibility of the device and will have to purchase a new device from PbxEdge upon any loss, damage or defect in the device after the first 15 days.
911 Service
PbxEdge does not provide 911 service feature. The customer / end user should have an alternative phone service with 911 service. By accepting these terms and conditions the customer agrees that they have an alternative home or cell phone service with 911 service and are using PbxEdge phone service as a secondary phone line.
Other Terms
The phone numbers provided by PbxEdge will be leased to the customer for a monthly fee and will be reposessed by PbxEdge upon cancellation or discontinuation of the service by the customer. The customer might not be able to get the same number upon cancellation, discontinuation of the service or after changing the number to a new number. All calling charges (local, long distance or international) will be billed to the customer as per the then published rates on PbxEdge.com. All calling charges for a call will be billed based on 1 minute increments and the amounts for each call will be rounded off to the nearest cent. (For example 5.5c will be billed as 6c).
